We fully appreciate the concept of the company as an 'incapacitated legal person' (Prof Mervyn King) that depends on the governance framework and people to lead and direct it. This broad perspective recognises the transient yet continuing role of board members who must be responsible to this legal person and its stakeholders. It also acknowledges wider expectations of modern day companies, different from the historical focus on privately owned shareholder owners with control of capital.
